Terms of Service

Effective Date: June 14, 2026

These Terms of Service (“Terms”) govern your access to and use of the websites, online stores, applications, products, content, and related services operated by ChaChing Ecom LLC (“ChaChing Ecom,” “Company,” “we,” “us,” or “our”), including any website or brand that links to these Terms (collectively, the “Services”).

By accessing the Services, creating an account, submitting an order, or otherwise using the Services, you agree to these Terms and our Privacy Notice. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to make a purchase or create an account through the Services.

Individuals under 18 may use the Services only with the involvement and permission of a parent or legal guardian.

By using the Services, you represent that:

  • You have the legal capacity to enter into these Terms; 
  • The information you provide is accurate and complete; 
  • You will comply with all applicable laws; and 
  • You are not prohibited from using the Services under applicable law. 

2. Changes to These Terms

We may update these Terms periodically.

When we make material changes, we may provide notice by updating the Effective Date, posting a notice through the Services, sending an email, or using another reasonable method.

Your continued use of the Services after updated Terms become effective constitutes your acceptance of the updated Terms. Changes will not retroactively alter material terms of an order that we have already accepted unless required by law or agreed to by you.

3. Accounts

Certain portions of the Services may require an account.

You agree to:

  • Provide accurate and current account information; 
  • Maintain the confidentiality of your username and password; 
  • Promptly update information that changes; 
  • Notify us of suspected unauthorized access; and 
  • Accept responsibility for activity conducted through your account, except to the extent caused by our failure to use reasonable security measures. 

You may not transfer, sell, rent, or share your account with another person without our written permission.

We may suspend or terminate an account when we reasonably believe it has been compromised, used fraudulently, or used in violation of these Terms.

4. Products and Services

We attempt to accurately describe and display our products and services. However, colors, images, packaging, measurements, and other visual details may vary depending on your device, manufacturing processes, supplier changes, and other factors.

We do not guarantee that every image, description, price, or specification will be completely free from error.

Product availability is not guaranteed. We may:

  • Limit quantities; 
  • Discontinue products; 
  • Reject or cancel orders; 
  • Correct errors; 
  • Change prices before an order is accepted; or 
  • Substitute packaging when the underlying product is materially equivalent. 

If we cancel an order after payment has been processed, we will refund the amount charged for the canceled portion.

5. Orders and Acceptance

Submitting an order is an offer to purchase the identified products or services.

An order confirmation only acknowledges that we received your order. It does not necessarily mean that we have accepted it.

We may reject or cancel an order for reasons including:

  • Product unavailability; 
  • Pricing or description errors; 
  • Suspected fraud; 
  • Payment authorization problems; 
  • Shipping restrictions; 
  • Unusual order quantities; 
  • Resale activity; 
  • Violation of these Terms; or 
  • Legal or regulatory restrictions. 

We may contact you to verify an order before accepting or fulfilling it.

6. Prices, Taxes, and Payment

Prices are displayed in U.S. dollars unless otherwise stated.

You agree to pay:

  • The displayed purchase price; 
  • Applicable taxes; 
  • Shipping and handling charges; 
  • Recurring fees that you expressly authorize; and 
  • Other charges clearly disclosed before purchase. 

You authorize us and our payment processors to charge your selected payment method for the total amount shown at checkout.

You represent that you are authorized to use the payment method you submit.

We may use third-party payment processors, including platforms such as Stripe, Shopify Payments, PayPal, or similar providers. Payment information submitted directly to those providers is also governed by their terms and privacy policies.

7. Subscriptions and Recurring Charges

This section applies only when we offer a subscription, membership, continuity program, or other automatically renewing service.

Before you enroll, we will disclose the material terms of the subscription, including:

  • The amount charged; 
  • Billing frequency; 
  • Duration of any trial or promotional period; 
  • Whether the subscription automatically renews; 
  • How to cancel; and 
  • Any material cancellation or refund restrictions. 

By enrolling, you authorize us to charge your payment method at the disclosed intervals until you cancel.

You must cancel before the next billing date to avoid the next recurring charge, unless a different cancellation deadline is clearly disclosed at enrollment.

We will provide a reasonably accessible cancellation method. Cancellation stops future renewals but ordinarily does not retroactively refund charges already incurred, except where required by law or expressly stated in the applicable offer.

Do not bury subscription terms in fine print. Washington prohibits unfair or deceptive business practices, and federal regulators continue to scrutinize confusing enrollment and cancellation practices. 

8. Shipping and Delivery

Shipping and delivery dates are estimates unless we expressly guarantee a specific date in writing.

We are not responsible for delays caused by circumstances outside our reasonable control, including:

  • Carrier delays; 
  • Severe weather; 
  • Customs processing; 
  • Incorrect addresses; 
  • Labor disruptions; 
  • Supply-chain interruptions; 
  • Natural disasters; or 
  • Government actions. 

You are responsible for providing a complete and accurate shipping address.

When permitted by law, risk of loss passes to you when the order is delivered to the shipping address provided during checkout. Any claim involving a lost, stolen, damaged, or misdelivered package must be reported promptly.

9. Returns, Refunds, and Exchanges

Returns, refunds, cancellations, and exchanges are governed by the return or refund policy presented on the applicable website or at the time of purchase.

Unless otherwise stated:

  • Items must be returned within the stated return window; 
  • Returned items must be unused and in their original condition; 
  • Certain products may be final sale; 
  • Original shipping charges may be nonrefundable; 
  • Customers may be responsible for return shipping; and 
  • Refunds may be issued to the original payment method. 

Nothing in these Terms limits any non-waivable refund, cancellation, or warranty right available under applicable law.

You should publish a separate Return and Refund Policy. A clause in the Terms alone is not enough when customers need to know the actual return window, restocking fee, damaged-item procedure, and excluded products before purchasing.

10. Promotions, Discounts, and Gift Cards

Promotions, coupon codes, discounts, credits, referral offers, contests, and gift cards may be subject to additional terms.

Unless otherwise stated:

  • Offers cannot be combined; 
  • Offers have no cash value; 
  • Offers may expire; 
  • Offers are limited to one per customer or household; 
  • Offers may be modified or withdrawn before redemption; and 
  • Fraudulent, automated, or abusive participation is prohibited. 

We may reject or reverse a promotional benefit obtained through manipulation, duplicate accounts, false information, or other abuse.

11. Permitted Use

We grant you a limited, personal, non-exclusive, non-transferable, revocable right to access and use the Services for lawful purposes and in accordance with these Terms.

You may not:

  • Violate any applicable law or regulation; 
  • Use the Services for fraud or deception; 
  • Impersonate another person; 
  • Submit false payment or account information; 
  • Interfere with the security or operation of the Services; 
  • Introduce malware or malicious code; 
  • Attempt unauthorized access to accounts, systems, or networks; 
  • Use automated tools to excessively access or burden the Services; 
  • Scrape, harvest, or extract information from the Services without our written authorization; 
  • Circumvent access controls, rate limits, CAPTCHAs, or technical restrictions; 
  • Copy, reproduce, or commercially exploit our content without permission; 
  • Use the Services to infringe another person’s rights; or 
  • Assist another person in doing any of the above. 

12. Third-Party Websites and Data

The Services may contain links, integrations, content, information, or functionality provided by third parties.

We do not control and are not responsible for third-party websites, platforms, data sources, products, terms, availability, security, or privacy practices.

Your use of a third-party service is governed by your agreement with that third party.

Nothing in these Terms grants you permission to scrape, automate access to, reproduce, resell, or otherwise use information obtained from Spokeo, TruePeopleSearch, social networks, data brokers, or other third-party websites in violation of their terms, access restrictions, privacy rights, or applicable law.

13. Communications

Transactional Communications

You agree that we may send communications reasonably necessary to administer your account or transaction, such as order confirmations, shipping updates, security alerts, support responses, and account notices.

Marketing Emails

Where permitted by law, we may send promotional emails. You may unsubscribe using the link in the message.

Unsubscribing from marketing emails will not prevent necessary transactional communications.

Commercial email must include accurate sender information, non-deceptive subject lines, and a working opt-out mechanism. 

Text Messages

We will send promotional or automated marketing text messages only when we have the legally required consent.

Where applicable:

  • Consent is not a condition of purchasing a product or service; 
  • Message frequency may vary; 
  • Message and data rates may apply; 
  • Reply STOP to opt out; 
  • Reply HELP for assistance; and 
  • Carriers are not liable for delayed or undelivered messages. 

Providing a phone number somewhere on the internet is not consent to receive marketing texts. Prior express written consent may be required for automated promotional texts, and a recipient must be able to revoke consent. 

14. User Content and Reviews

The Services may allow you to submit reviews, photographs, comments, testimonials, questions, or other content (“User Content”).

You retain ownership of your User Content.

By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, display, format, distribute, and use that content for operating and promoting the Services, subject to applicable law and our Privacy Notice.

This license does not transfer ownership of your User Content to us.

You represent that:

  • You own or have permission to submit the content; 
  • The content is truthful and based on your genuine experience; 
  • The content does not violate another person’s rights; 
  • The content is not unlawful, defamatory, fraudulent, threatening, or obscene; and 
  • Any material connection, compensation, discount, or free product related to a review is properly disclosed. 

We may moderate or remove content that violates these Terms. We will not prohibit or penalize honest reviews merely because they are negative. Federal law restricts standardized contract terms that punish consumers for posting honest reviews. 

We do not purchase, create, or publish fake reviews. The FTC’s consumer-review rule prohibits specified deceptive practices involving fake or misleading reviews and testimonials. 

15. Intellectual Property

The Services and their contents—including trademarks, logos, designs, graphics, photographs, videos, software, text, layouts, and compilations—are owned by or licensed to ChaChing Ecom LLC and are protected by intellectual-property laws.

Except for the limited right to use the Services under these Terms, no rights are transferred to you.

You may not use our business names, trademarks, logos, or brand elements without prior written permission.

16. Copyright Complaints

If you believe content available through the Services infringes your copyright, send a written notice containing:

  • Identification of the copyrighted work; 
  • Identification and location of the allegedly infringing material; 
  • Your contact information; 
  • A statement that you have a good-faith belief that the use is unauthorized; 
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act; and 
  • Your physical or electronic signature.

Publishing a formal Digital Millennium Copyright Act agent with the U.S. Copyright Office may be appropriate if your website regularly hosts third-party content.

17. Privacy

Our collection, use, retention, and disclosure of personal information are described in our Privacy Notice.

The Privacy Notice is incorporated into these Terms by reference.

The phrase in your current notice stating that you do not sell information “in the traditional sense” is not strong enough. Some state privacy laws define “sale,” “sharing,” or targeted-advertising disclosures more broadly than a direct exchange for money. Your actual advertising pixels, analytics tools, customer-list uploads, and retargeting setup must be audited before making that claim.

18. Disclaimer of Warranties

To the maximum extent permitted by law, the Services and all products, information, and content are provided on an “as is” and “as available” basis.

We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement to the extent legally permitted.

We do not warrant that:

  • The Services will always be available or error-free; 
  • Defects will always be corrected; 
  • The Services will be free from harmful components; 
  • Product descriptions will be entirely free from minor inaccuracies; or 
  • The Services will satisfy every user’s requirements. 

Some jurisdictions do not permit certain warranty disclaimers, so portions of this section may not apply to you.

Nothing in these Terms excludes an express written warranty provided with a particular product.

19. Limitation of Liability

To the maximum extent permitted by law, ChaChing Ecom LLC and its owners, officers, employees, contractors, affiliates, suppliers, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the Services.

To the maximum extent permitted by law, our aggregate liability arising from a claim relating to a particular transaction will not exceed the greater of:

  1. The amount you paid to us for the product or service giving rise to the claim during the preceding 12 months; or 
  2. One hundred U.S. dollars. 

These limitations do not apply to liability that cannot legally be limited, including where applicable liability for fraud, intentional misconduct, gross negligence, personal injury caused by legally actionable conduct, or non-waivable consumer rights.

20. Indemnification

To the extent permitted by law, you agree to indemnify and defend ChaChing Ecom LLC against third-party claims, damages, liabilities, and reasonable expenses arising from:

  • Your unlawful use of the Services; 
  • Your violation of these Terms; 
  • Your User Content; 
  • Your infringement of another person’s rights; or 
  • Fraudulent activity conducted through your account. 

This obligation does not apply to claims caused by our own unlawful conduct, gross negligence, or willful misconduct.

21. Suspension and Termination

You may stop using the Services at any time.

We may suspend or terminate your access when reasonably necessary to:

  • Protect the Services or other users; 
  • Investigate suspected fraud or security issues; 
  • Comply with law; 
  • Address nonpayment; 
  • Prevent misuse; or 
  • Enforce these Terms. 

Termination does not eliminate payment obligations or liabilities incurred before termination.

Sections that by their nature should survive termination—including intellectual-property, disclaimers, liability limitations, indemnification, dispute provisions, and payment obligations—will remain effective.

22. Governing Law and Disputes

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles.

Before filing a lawsuit, you and ChaChing Ecom LLC agree to make a reasonable good-faith effort to resolve the dispute informally. A written dispute notice should describe the issue and requested resolution.

Unless applicable law provides otherwise, any legal proceeding arising from these Terms or the Services must be brought in a state or federal court with jurisdiction over Snohomish County, Washington.

You and ChaChing Ecom LLC consent to the personal jurisdiction of those courts.

Nothing in this section prevents either party from:

  • Bringing an eligible claim in small-claims court; 
  • Seeking emergency injunctive relief; 
  • Reporting an issue to a governmental agency; or 
  • Exercising a non-waivable statutory right. 

I intentionally did not insert mandatory arbitration or a class-action waiver. Copying those clauses from another website without a properly designed acceptance and dispute process can create an illusion of protection while remaining vulnerable to enforcement challenges.

23. Electronic Communications and Signatures

You consent to receive agreements, disclosures, notices, and other records electronically where permitted by law.

You agree that electronic acceptance, checkbox acceptance, electronic signatures, and electronic records may have the same legal effect as paper documents and handwritten signatures.

You are responsible for maintaining an email address and device capable of receiving electronic communications.

24. Force Majeure

We are not responsible for delay or failure caused by events outside our reasonable control, including severe weather, fire, natural disasters, war, terrorism, labor disputes, internet or utility outages, carrier interruptions, supply shortages, pandemics, governmental actions, or failures of third-party platforms.

This section does not excuse payment obligations for products or services already delivered.

25. Assignment

You may not transfer your rights or obligations under these Terms without our written consent.

We may assign these Terms as part of a merger, acquisition, restructuring, financing, sale of assets, or transfer of the applicable business, subject to applicable law.

26. Severability

If a provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent legally permitted, and the remaining provisions will remain in effect.

27. No Waiver

Our failure to enforce a provision does not waive our right to enforce it later.

A waiver is effective only when made in writing by an authorized representative of ChaChing Ecom LLC.

28. Entire Agreement

These Terms, the Privacy Notice, applicable return and refund policies, and any additional terms presented for a specific product or service constitute the agreement between you and ChaChing Ecom LLC concerning the Services.

If additional product-specific terms conflict with these Terms, the product-specific terms control for that product or service.
